Octuo Terms of Service
These Terms govern your use of Octuo. By creating an account or using the Service you agree to them. If you do not agree, do not use Octuo.
These Terms are supplemented by the Beta Notice, Privacy Policy, Acceptable Use Policy, AI Disclosure, Refund Policy, and Cookie Policy. Where they conflict on a beta-specific risk, the Beta Notice prevails.
1. Definitions
- "Tutuo", "we", "us" = Tutuo, Inc., a US corporation.
- "You" = an individual using Octuo with an account in your name.
- "Service" or "Octuo" = the software, website, mobile app, and desktop client published at https://octuo.tutuo.ai and via Apple app stores or distribution channels.
- "Content" = anything you input to the Service or the Service outputs to you, including chat messages, files, vault items, device events.
2. Account
You must be at least 13 years old (16 in EU member states whose law requires it). One person, one account. You are responsible for keeping your password safe and for everything done through your account.
3. Beta status (most important section)
Octuo is a Public Beta. Read Beta Notice before using Octuo. We summarise the most-relevant beta consequences here:
- No SLA, no warranty, may be unavailable. During beta, we make no service-level promise. Octuo may be unavailable, slow, or return errors at any time. We will work to fix issues but make no guarantee on response time.
- Features may change or disappear. We may add, remove, or significantly change features without notice.
- Outputs are not guaranteed. AI-generated content can be wrong, biased, fabricated, or harmful. Verify before relying on it. We are not liable for the outcomes of decisions you make based on AI output.
- Agent actions are authorized by you. When you grant agent capabilities (file access, vault access, multi-device control), you authorize the Service to act on your behalf. You are responsible for what those authorizations enable. We are not liable for the outcomes of authorized autonomous actions.
4. Pricing, billing, and refunds
- Octuo's pricing is shown during signup and on your account billing page, and synchronized to Stripe via our pricing-catalog SSOT.
- Subscriptions renew automatically until you cancel. Cancel anytime via the Stripe-hosted Customer Portal linked from Account → Billing.
- Where applicable, taxes (sales, VAT, GST) are added to the price shown at checkout via Stripe Tax.
- Refunds are governed by the Refund Policy. Stripe charges and Apple in-app purchases follow different rules; see the Refund Policy for which applies.
- Pricing during beta may change with notice as described in Beta Notice §9.
5. Acceptable use
You agree to follow the Acceptable Use Policy. Violations may result in account suspension, credit forfeiture, and reporting to law enforcement where required.
6. Your content; our license to operate
You retain ownership of Content you create. You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display your Content only as necessary to provide the Service to you and to comply with law.
We do not use your Content to train shared models. AI providers we forward prompts to (see AI Disclosure) handle your prompts under their own terms; we configure each integration to disable training-on-inputs where the provider supports the option.
7. Privacy; international users
Your data is processed as described in the Privacy Policy. Octuo is a US-based service. International users — including users in the European Union, the United Kingdom, China, and elsewhere — acknowledge that their data is transferred to and processed in the United States, and accept that the Service is provided under US law. You are responsible for compliance with the laws of your jurisdiction in your use of Octuo; we make no representation that the Service is lawful in any specific jurisdiction.
8. Vault
The Octuo vault is designed so we cannot read your plaintext credentials. We hold ciphertext and envelope metadata only. You are responsible for backing up critical credentials elsewhere. If your account is permanently deleted (e.g., long account inactivity, deletion request) the vault key is destroyed and your vault contents become permanently unrecoverable; this is by design.
9. AI outputs; no professional advice
AI-generated content is produced by third-party large language models. We do not represent any output as accurate, complete, current, or fit for a particular purpose. Octuo is not a substitute for professional advice. Do not use it for medical, legal, financial, or safety-critical decisions without independent professional verification.
10. Service availability; suspension
We may suspend the Service or your account if:
- We have a reasonable belief your use violates the Acceptable Use Policy.
- We are required to suspend by valid legal order.
- Continued operation creates a security or safety risk.
- You fail to pay overdue invoices after notice.
We will give you written notice except where law or safety prohibits.
11. Termination
You may terminate by deleting your account in Account Settings. We may terminate for the reasons in §10 above; we will refund unused prepaid subscription days pro-rata except in cases of policy violation. Upon termination, the data-deletion process in Privacy Policy §9 applies.
12. Disclaimers (the legalese-heavy section)
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI OUTPUTS. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
SOME JURISDICTIONS DO NOT ALLOW DISCLAIMERS OF IMPLIED WARRANTIES, SO SOME OF THIS MAY NOT APPLY TO YOU.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUTUO'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $50.
WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
THIS LIMITATION DOES NOT APPLY WHERE PROHIBITED BY LAW (e.g., EU consumer protection laws limit some liability waivers).
14. Indemnification
You agree to indemnify and hold Tutuo harmless from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of any law or third-party right, or your Content.
15. Governing law and jurisdiction
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Wilmington, Delaware. You consent to the personal jurisdiction of those courts.
If a court finds this clause unenforceable for your jurisdiction (e.g., EU consumer protection rules require local jurisdiction for consumers), then the unenforceable portion is severed and the rest remains in effect.
16. Changes to these Terms
We may update these Terms. Substantive changes (changes that affect your rights or obligations) will be notified at least 30 days in advance by email and in-app banner; you may delete your account during the notice period without penalty. Continued use after the effective date constitutes acceptance.
17. Miscellaneous
- Entire agreement. These Terms (with the supplements named in the introduction) are the entire agreement between you and Tutuo.
- Severability. If any provision is unenforceable, the rest remains.
- No waiver. A failure to enforce any right is not a waiver.
- Assignment. You may not assign these Terms; we may assign in connection with a merger or acquisition with notice to you.
- No third-party beneficiaries. No one outside this agreement has rights under it.
- Communications. We may send Service notices by email to your account address.
- Force majeure. We are not liable for delays caused by events beyond our reasonable control.
